Sunrise Energy Metals (ASX:SRL) entered into a agreement with newly incorporated Delaware corporation Sunrise Energy Metals Inc. to redomicile the parent company of the Sunrise group to the US from Australia and list its shares on Nasdaq, according to a Friday filing with the Australian bourse.
Under the proposed transaction, Sunrise Energy Metals Inc. will acquire all of the ordinary shares in Sunrise and become the new parent company of the Sunrise Group.
The parent company's shares will be listed on the Nasdaq, while its Chess depositary interests (CDI) will be listed on the Australian exchange. Sunrise shareholders will receive one parent company CDI for each share held, or may elect to receive one parent company share.
The proposal remains subject to various conditions, including approval by courts, regulators, and Sunrise shareholders.
Sunrise appointed Lonergan Edwards as independent expert to decide whether the scheme is in the best interests of its shareholders.
The company's shares gained nearly 1% in recent Friday trade.
