Shanghai Gench Education Group Limited (“GENCH EDU”) announced a board reshuffle effective 23 September 2026. The move brings in two new independent non-executive directors (INEDs) and reorganises the company’s three key board committees.

New INED Appointments • Mr. Shi Jianxiang, 61, joins the board and becomes a member of both the Audit and Nomination Committees. Mr. Shi has 39 years of experience in China’s education sector and currently lectures at Zhejiang Gongshang University. He will receive annual director’s fees of HK$240,000. • Mr. Zhang Aimin, 61, also joins as an INED. He is appointed Chair of the Audit Committee and will serve on the Nomination and Remuneration Committees. Mr. Zhang is an emeritus professor at East China University of Science and Technology and holds non-practising CPA, public valuer and real-estate appraiser credentials. His annual remuneration is HK$240,000.

Resignations • Mr. Chen Baizhu stepped down as an INED and ceased membership in both the Audit and Nomination Committees. • Ms. Liu Tao resigned as an INED, relinquishing her roles as Audit Committee Chair and member of the Remuneration and Nomination Committees. Both cited length of service, nearing eight years, as the reason for departure and confirmed no disagreements with the board.

Additional Committee Change • Non-executive director Ms. Zhao Jiaqiao has become a member of the Nomination Committee.

Current Board Composition The board now consists of two executive directors, three non-executive directors and three independent non-executive directors, aligning with Hong Kong Listing Rule requirements for independent oversight.
