Beijing Capital Airport (BCIA) Renews Three-Year RMB 114 Million Entrusted Assets Management Pact with Parent Company

Beijing Capital International Airport Company Limited (Beijing Capital Airport, 00694) has signed a new Entrusted Assets Management Agreement with its controlling shareholder, Capital Airports Holdings Co., Ltd. (the Parent Company), covering the period from 1 October 2026 to 30 September 2029.

Key Terms • Scope: Beijing Capital Airport will continue to manage two buildings (total GFA: approx. 8,500 sq m) at Beijing Capital Airport and related equipment used for conference/event security and emergency transport operations. • Services: Daily repair and maintenance, security, property management, utility management, and establishment of asset management systems. • Restrictions: The airport operator has no right to transfer or encumber the assets; any expansion of scope requires prior written consent from the Parent Company.

Fee Structure • 1 Oct 2026–30 Sep 2027: Fixed management fee of RMB 30.73 million plus up to RMB 3.56 million for replacement and relocation of security inspection machines, bringing the first-year ceiling to RMB 34.29 million. • 1 Oct 2027–30 Sep 2029: Fixed fee of RMB 32.14 million per annum. • Payments are due semi-annually on 31 March and 30 September. All figures include value-added tax; the net contract prices remain unchanged should VAT rates move.

Annual Caps • 1 Oct – 31 Dec 2026: RMB 9.50 million • FY 2027: RMB 38.00 million • FY 2028: RMB 38.00 million • 1 Jan – 30 Sep 2029: RMB 28.50 million Aggregate three-year cap: RMB 114.00 million.

Historical Performance Under the current agreement expiring 30 September 2026, unaudited management fee receipts stood at RMB 20.67 million for the eight months to 31 August 2026, versus the annual cap of RMB 38.00 million.

Pricing & Internal Controls Fees are set on a cost-plus basis, reflecting security, maintenance, labour and related expenses. Prior to signing, the company benchmarked expected costs through an internal enquiry process. Ongoing compliance will be overseen by: 1. Departmental reviews and General Manager office sign-off before Board approval. 2. Annual scrutiny by independent non-executive directors and external auditors to confirm adherence to normal commercial terms and to monitor cap utilisation. 3. Monthly tracking by the finance department, with escalation procedures if utilisation approaches limits.

Regulatory Classification Because the Parent Company owns approximately 58.96 % of Beijing Capital Airport’s issued share capital, the transactions constitute continuing connected transactions under Chapter 14A of the Hong Kong Listing Rules. With the highest applicable percentage ratio below 5 %, the agreement is subject to reporting, annual review and announcement requirements but is exempt from independent shareholders’ approval.

Board Process Directors holding concurrent roles at the Parent Company—Mr Song Kun, Mr Li Yongbing, Mr Du Qiang, Mr Xue Rongguo and Mr Shen Lancheng—abstained from voting. The remaining Board members approved the agreement.

Strategic Rationale Maintaining direct management of the assets supports Beijing Capital Airport’s operational safety, resource coordination and service quality, thereby enhancing overall airport efficiency and revenue potential.

The Entrusted Assets Management Agreement takes effect immediately upon execution and seal affixation by both parties.
