Xiaomi Corporation (Xiaomi) submitted a Next Day Disclosure Return on 25 September 2026 summarising minor share issuances and continued execution of its on-market share repurchase programme.

Xiaomi issued 61,600 new Class B weighted-voting-rights (WVR) ordinary shares under its employee share scheme—41,600 shares on 24 September at HKD 2.64 each and 20,000 shares on 25 September at HKD 2.70 each. The combined allotment represents just 0.0003 % of the prior Class B share base of 21.33 billion. Post-issuance, Class B shares outstanding rose marginally to 21.33 billion, leaving Xiaomi’s total issued share capital at 25.76 billion shares (4.43 billion Class A; 21.33 billion Class B).

Buyback activity remained robust. On 25 September, the company repurchased 1.93 million Class B shares on the Hong Kong Stock Exchange at prices ranging from HKD 25.78 to HKD 25.98, for a total consideration of HKD 50.06 million. These shares are earmarked for cancellation, triggering a 30-day moratorium—lasting until 25 October 2026—on new share issuances or treasury-share disposals, in line with Hong Kong listing rules.

The latest purchase forms part of the repurchase mandate approved on 2 June 2026, which authorises up to 2.58 billion shares. Cumulative buybacks under this mandate now stand at 124.60 million shares, equivalent to 0.48 % of Xiaomi’s issued share capital as at the mandate date. As of 25 September 2026, a total of 39.05 million repurchased shares—acquired during 22 trading sessions between 21 July and 25 September at prices ranging from HKD 25.68 to HKD 28.72—remain outstanding pending cancellation.

Xiaomi confirmed that all share issues and repurchases were duly authorised by the Board and executed in full compliance with the Hong Kong Listing Rules and relevant regulatory requirements.
