Great World Sets 29 Sep 2026 AGM; Directors Seek 20% Issue Mandate, 10% Buy-Back Capacity and Constitutional Overhaul

Great World Company Holdings Ltd will convene its 2026 Annual General Meeting (AGM) on Tuesday, 29 September 2026 at 11:00 a.m. (Office No. 4, 21/F, Saxon Tower, Lai Chi Kok, Hong Kong). Shareholders on the register as at 24 September 2026 are entitled to attend and vote; the register will be closed from 24–29 September 2026, and proxy forms must reach Computershare Hong Kong Investor Services by 11:00 a.m. on 27 September 2026.

Key ordinary business: • Adoption of the audited financial statements and reports for the financial year ended 31 March 2026. • Re-election of Executive Director Mr Zhang Yanqiang and Independent Non-Executive Director (INED) Mr Chung Koon Yan. • Authorisation for the Board to set directors’ remuneration. • Re-appointment of HLB Hodgson Impey Cheng Limited as external auditor, with remuneration to be fixed by the Board.

Special business—capital management authorities: • General issuance mandate: Board authorised to allot, issue or deal with additional shares and convertible securities up to 20% of issued share capital (excluding any treasury shares) during the mandate period. • Share repurchase mandate: Company empowered to buy back up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised bourses. • Mandate extension: The share issuance limit may be increased by the number of shares repurchased under the above buy-back authority, effectively allowing a potential aggregate issuance headroom of up to 30% of current share capital.

Governance update: • Shareholders will vote on adopting a new amended and restated Memorandum and Articles of Association, replacing the existing constitutional documents.

Board composition (as at notice date): Executive Directors – Mr Zhao Xinyan (Chairman), Mr Zhang Yanqiang, Mr Gu Zhonghai; INEDs – Mr Chung Koon Yan, Ms Zhao Yongmei, Mr Jing Baoli.

Contingency planning: Should Typhoon Signal No. 8 or higher, or a Black Rainstorm Warning, be in force at or after 9:00 a.m. on meeting day, the AGM will be adjourned, with revised details to be announced on the HKExnews and company websites.
