Ming Yuan Cloud Group Holdings Limited submitted a Next Day Disclosure Return to the Hong Kong Stock Exchange on 25 September 2026, detailing its latest capital movements and ongoing share-repurchase programme.

Issued-share position unchanged • Opening and closing balances for issued shares (excluding treasury shares) were steady at 1.88 billion on 24–25 September 2026. • Treasury shares stood at 12.32 million, leaving the total share count at 1.89 billion.

Continuous on-market repurchases • On 25 September 2026 the company bought back 1.00 million shares on the Exchange at prices between HK$0.92 and HK$0.94, spending HK$0.94 million (average HK$0.9351 per share). • These shares are earmarked for cancellation and are not yet removed from the issued-share total.

Cumulative buybacks pending cancellation • Including the latest transaction, Ming Yuan Cloud has 45.95 million repurchased shares pending cancellation, acquired between 17 December 2025 and 25 September 2026 at prices ranging from HK$0.95 to HK$3.36 per share. • The unreduced block equates to approximately 2.43% of the current issued share base.

Repurchase mandate utilisation • Under the shareholder mandate approved on 20 May 2026, the company may repurchase up to 191.24 million shares. • To date, 20.50 million shares have been bought back under this authority, representing 1.07% of the shares outstanding on the mandate date. • In line with listing rules, Ming Yuan Cloud is subject to a moratorium on new share issues or treasury-share sales until 25 October 2026.

Governance confirmation The board confirmed that all repurchases were executed in accordance with Hong Kong Stock Exchange listing rules and relevant regulations, with full receipt of funds and proper filings completed.
