Citi has released a research report raising the target price for GAC GROUP (02238) H-shares from HK$2.3 to HK$2.7, and increasing the target price for Guangzhou Automobile Group Co.,Ltd. (601238.SH) A-shares from RMB 5.6 to RMB 5.9.
GAC GROUP (02238) announced it will acquire a 50% stake in FAW Toyota held by FAW Group through the issuance of new A-shares at RMB 5.75 per share, alongside a simultaneous private placement of A-shares to raise matching funds.
Management stated during a conference call that the transaction rests on three pillars: advancing central-local state-owned enterprise reform; reshaping the Toyota partnership by shifting from direct competition between North and South Toyota toward a more integrated framework, including joint procurement, unified product planning, and capacity/channel coordination; and establishing central-local state-owned enterprise cooperation.
The bank noted that central-local state-owned enterprise cooperation between FAW and GAC can generate broader industrial synergies, including supply chain integration and R&D cost sharing, which would benefit GAC's own-brand operations.
Management believes the transaction can revitalize asset quality, improve the listed company's operating performance, and enhance long-term sustainable shareholder returns. It also responds to deep industry transformation, rapid technological iteration, restructuring of the competitive landscape, and the "15th Five-Year Plan" that encourages mergers and acquisitions and cross-regional integration to address homogeneous competition.
