BFB HEALTH (00205) has announced that on September 28, 2026, the company entered into a share transfer agreement with a buyer, under which the company agreed to sell and the buyer agreed to purchase the sale shares, representing the entire issued share capital of the disposal company, Golden Gate Services Limited, for a consideration of HK$10,000.

Upon completion, the disposal company will cease to be a subsidiary of the company, and the company will no longer hold any issued share capital of the disposal company. As a result, the financial results of the disposal company will no longer be consolidated into the group's consolidated financial statements.

After considering the financial performance of the disposal group and reviewing its business and operating conditions, the board of directors believes that proceeding with the disposal is appropriate for the group. The disposal will strengthen the group's cash flow, enabling the group to improve its liquidity and allowing the group to reallocate its resources to other existing opportunities. The net proceeds from the disposal will be used as general working capital of the group.
