Jinchuan Intl Calls 26 Jun 2026 AGM; Proposes HK$0.40 per-share Payout, Director Re-elections, and Dual 20% Issue / 10% Buyback Mandates

Jinchuan Group International Resources Co. Ltd (Jinchuan Intl, 02362) has dispatched a circular convening its annual general meeting (AGM) for 26 June 2026 in Hong Kong.

Dividend proposal • The board recommends a final dividend of HK0.20 cent and a special dividend of HK0.20 cent per share for FY 2025. • Shareholders on record between 6–9 July 2026 are entitled to the payouts, scheduled for distribution on or about 31 July 2026.

Board renewal • All six directors—Executive Directors Cheng Yonghong and Gao Tianpeng; Non-executive Director Wang Qiangzhong; and Independent Non-executive Directors Yen Yuen Ho, Poon Chiu Kwok and Han Ruixia—will retire and seek re-election. • Chairman Cheng Yonghong, who had planned to step down, will stand for re-election in light of a pre-conditional voluntary cash partial offer announced by Gong Hailin on 21 May 2026.

Audit appointment • Crowe (HK) CPA Limited is nominated for re-appointment as external auditor for FY 2026. The audit fee is estimated at US$0.62 million, unchanged from the previous year.

Capital authorities • Share issue mandate: Directors seek authority to issue up to 20% of the existing share capital, equal to approximately 2.63 billion shares, during the mandate period. • Share repurchase mandate: Approval requested to buy back up to 10% of issued shares, or about 1.31 billion shares. • An additional mandate would extend the issue limit by the amount of shares repurchased.

Key dates • Last day to lodge share transfers for AGM attendance: 18 June 2026 (4:30 p.m.). • Share register closure for AGM: 22–26 June 2026. • Share register closure for dividend entitlement: 6–9 July 2026.

Share capital snapshot • Issued shares as of 1 June 2026 total 13.13 billion. • Controlling shareholder Jinchuan Group Co. Ltd. and concert parties hold 57.81%, which would rise to 64.24% if the repurchase mandate is fully exercised.

Voting arrangements • All AGM resolutions will be decided by poll; proxy forms are due by 3:00 p.m. on 24 June 2026.
