Yum China Trims Share Count After U.S. Cancellation and Continues Cross-Border Buyback

Yum China Holdings, Inc. disclosed on 17 September 2026 that 78,500 ordinary shares repurchased on 15 September in the United States were cancelled on 16 September. The cancellation reduced the company’s outstanding shares to 341.07 million from 341.15 million, a 0.02 % contraction.

Ongoing buyback pipeline • Shares already repurchased for future cancellation but still outstanding total 1.30 million, equivalent to roughly 0.38 % of the current share base. • These include 1.22 million shares bought on the Hong Kong Stock Exchange (HKEX) between 2 July and 16 September at prices ranging from HKD 323.99 to HKD 386.31, plus 79,000 shares acquired on the New York Stock Exchange (NYSE) on 16 September at USD 41.37–41.76.

Latest trading-day activity • On 16 September, 23,900 shares were repurchased on HKEX at HKD 326.80–332.00, costing HKD 7.86 million. • The same day, 79,000 shares were bought on NYSE for USD 3.29 million.

Repurchase mandate utilisation • The current authorisation, granted on 28 May 2026, permits the repurchase of up to 34.66 million shares. • Cumulative execution has reached 7.09 million shares, equal to 2.05 % of the share count at the mandate date.

Capital structure snapshot (post-cancellation, 16 September 2026) • Issued shares outstanding: 341.07 million. • Treasury shares: none.

All transactions were executed through independent brokers under pre-established Rule 10b5-1 and Hong Kong automatic share repurchase agreements, in compliance with the respective listing rules of NYSE and HKEX.
