Yum China Trims Share Count; 7.38 Million Shares Bought Back Under 2026 Mandate

Yum China Holdings, Inc. (Yum China) disclosed that it cancelled 76,204 ordinary shares on 21 September 2026 following a U.S. market repurchase executed on 18 September at an average price of USD 41.17 per share. The cancellation reduced the company’s outstanding share capital to 340.84 million shares from 340.91 million as of 18 September, a 0.02% decrease.

In parallel, Yum China reported a further 1.36 million shares—acquired between 2 July and 21 September on both the Hong Kong Stock Exchange (HKEX) and the New York Stock Exchange (NYSE)—that have been repurchased for cancellation but were still awaiting formal cancellation as of 21 September. These pending cancellations represent roughly 0.40% of the current issued share base.

Key data on the latest buybacks: • 21 September 2026 (HKEX): 24,150 shares repurchased at prices ranging between HKD 323.00 and HKD 327.20, for a total consideration of HKD 7.86 million. • 21 September 2026 (NYSE): 65,352 shares repurchased at prices between USD 41.11 and USD 41.61, costing USD 2.70 million.

Under the repurchase mandate approved on 28 May 2026, Yum China is authorised to buy back up to 34.66 million shares. Cumulative repurchases have now reached 7.38 million shares, equivalent to 2.13% of the company’s issued share capital on the mandate date.

All transactions were executed by independent brokers under pre-established Rule 10b5-1 and Hong Kong automatic repurchase agreements, in compliance with the respective U.S. and Hong Kong regulatory frameworks.

No treasury shares were held post-repurchase; all shares bought were designated for cancellation, aligning with the company’s ongoing capital management strategy.
